1. Acceptance of Terms

By accessing or engaging Heimatverse ("we," "our," or "us") for any service, you agree to be bound by these Terms of Service. If you are entering into this agreement on behalf of a company or other legal entity, you represent that you have the authority to bind that entity.

2. Services

Heimatverse provides custom software development, AI product development, and related design and engineering services. The specific scope, deliverables, timeline, and pricing for each engagement are defined in a separate Statement of Work ("SOW") or project agreement signed by both parties.

3. Intellectual Property

Upon full payment, all custom work product created specifically for your project is assigned to you. Heimatverse retains ownership of any pre-existing tools, frameworks, libraries, or methodologies used in the delivery of services. We may reference your project in our portfolio unless you request otherwise in writing.

4. Payment Terms

Invoices are due within 14 days of issuance unless otherwise specified in the SOW. Late payments accrue interest at 1.5% per month. We reserve the right to pause work on any engagement where payment is more than 30 days overdue.

5. Confidentiality

Both parties agree to keep confidential any non-public information shared during the engagement. This obligation survives termination of the agreement for a period of three (3) years.

6. Limitation of Liability

To the fullest extent permitted by law, Heimatverse's total liability for any claim arising from or related to our services shall not exceed the total fees paid by you in the three (3) months preceding the claim. We are not liable for indirect, consequential, or punitive damages.

7. Termination

Either party may terminate an engagement with 14 days written notice. You are responsible for payment of all work completed through the termination date. Termination does not relieve either party of confidentiality obligations.

8. Governing Law

These Terms are governed by the laws of the jurisdiction in which Heimatverse is incorporated, without regard to conflict of law provisions. Any disputes shall be resolved through binding arbitration before a mutually agreed arbitrator.

9. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via email to active clients. Continued engagement after notification constitutes acceptance of the updated Terms.
